THIS END-USER LICENSE AGREEMENT ("EULA") IS A LEGALLY BINDING CONTRACT BETWEEN YOU ("USER") AND ESSENTIAL NODES ("OWNER"). BY DOWNLOADING, INSTALLING, OR OTHERWISE USING THE PLUGIN, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY ALL TERMS OF THIS EULA.

1. Acceptance of Terms

Your download, installation, or use of the Plugin constitutes your unconditional acceptance of this EULA. If you are accepting these terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to this agreement.

2. License Grant

Subject to strict compliance with this EULA, Essential Nodes grants you a non-exclusive, non-transferable, and royalty‑free license to install and use the Plugin. You may install and activate the Plugin on up to two (2) machines under your direct control. This license permits both personal and commercial use, provided that such use does not violate any restrictions outlined herein.

3. Use Restrictions and Prohibited Activities

You shall not, under any circumstances:

• Redistribute, sublicense, rent, lease, or lend the Plugin whether in its original form or modified to any third party without obtaining prior explicit written consent from Essential Nodes.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying algorithms of the Plugin.
• Remove, obscure, or alter any proprietary notices, marks, or labels affixed to the Plugin.

4. Intellectual Property and Ownership

All rights, title, and interest in and to the Plugin, including but not limited to its code, architecture, design, visual interfaces, and all associated intellectual property rights, are and shall remain the sole and exclusive property of Essential Nodes. This EULA conveys no ownership rights to you. The Plugin is licensed, not sold.

5. Updates and Support

Essential Nodes may, at its sole discretion, provide upgrades to the Plugin. Technical support is offered on a best‑effort basis. Essential Nodes does not guarantee a fixed release schedule, specific response times, or continued availability of updates, and reserves the right to discontinue development or support at any time without prior liability to you.

6. Data Collection and Privacy

Essential Nodes respects your privacy. The Plugin operates autonomously and does not collect, transmit, or store any personally identifiable information, usage analytics, or project data on external servers. No data is automatically sent to Essential Nodes through your use of the Plugin.

7. Disclaimer of Warranties

THE PLUGIN IS PROVIDED TO YOU "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. ESSENTIAL NODES EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ESSENTIAL NODES DOES NOT WARRANT THAT THE PLUGIN WILL OPERATE UNINTERRUPTED, BE ERROR-FREE, OR BE COMPATIBLE WITH ALL VERSIONS OF DAVINCI RESOLVE OR THIRD-PARTY HARDWARE CONFIGURATIONS.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ESSENTIAL NODES, ITS AFFILIATES, OR SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF DATA, OR PROJECT CORRUPTION) ARISING OUT OF THE USE OR INABILITY TO USE THE PLUGIN, EVEN IF ESSENTIAL NODES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Refund Policy

The Plugin is a digital product, and all purchases are generally final and non-refundable. Before purchasing the full version, you are responsible for downloading and testing the available demo version on your own machine to ensure compatibility with your system and workflow. Refunds may only be considered in special cases, such as a non-working license key or a verified activation issue. If you experience such an issue, please contact us, so we can assess the situation and determine an appropriate resolution.

10. Termination

This EULA is effective until terminated. You may terminate this agreement at any time by permanently deleting all copies of the Plugin from your systems. Essential Nodes may terminate this EULA immediately and without notice if you breach any provision contained herein. Upon termination, you must cease all use of the Plugin and destroy all copies in your possession.

11. Modification of Terms

Essential Nodes reserves the right, at its sole discretion, to amend or revise this EULA at any time. Any changes will be communicated by updating the "Last Updated" date at the top of this document. Your continued use of the Plugin following such modifications constitutes your acceptance of the revised EULA. It is your responsibility to review these terms periodically.

12. General Provisions (Severability & Entire Agreement)

This EULA constitutes the entire agreement between you and Essential Nodes regarding the Plugin and supersedes all prior or contemporaneous communications, proposals, and representations, whether written or oral. If any provision of this EULA is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable.
